I. Definitions
a) GTC: The Service Provider’s General Terms and Conditions, i.e., this document.
b) Individual Agreement: A written agreement between the Service Provider and the Client for the provision of Services.
c) Party or Parties: the Client and the Service Provider, individually or jointly.
d) Website: the website operated by the Service Provider accessible at https://profitium.hu.
e) Service Fee: The compensation due to the Service Provider for the Services provided under the Individual Agreement, as stipulated therein.
f) Civil Code: Act V of 2013 on the Civil Code of Hungary.
g) Services: the following services provided by the Service Provider based on the Client’s order:
▪ Planning and implementation of online and offline marketing campaigns
▪ Newsletter campaigns and marketing automation
▪ Social media and content marketing
▪ Website and webshop creation, development, and maintenance
▪ Photography and video production
▪ Branding and graphic design
▪ Search Engine Optimization (SEO)
▪ Custom marketing consulting
h) Service Provider: Profitium.hu Ltd. (registered office: 2161 Csomád, Kossuth Lajos út 47., tax number: 32788871-2-13, company registration number: 13 09 239810, managing director: István Lehel Fekete, contact: hello@profitium.hu, +36 30 147 5970).
i) Client: any legal or natural person who orders Services from the Service Provider or contacts the Service Provider with the intent to order.
II. Conclusion and Scope of the Contract
2.1 The legal relationship between the Service Provider and the Client is established upon the signing of the Individual Agreement. These GTC form an inseparable part of the Individual Agreement.
2.2 Unless otherwise specified in the Individual Agreement, these GTC shall apply.
III. Performance of Services
3.1 The Service Provider shall provide the Services within the timeframe and under the conditions specified in the Individual Agreement.
3.2 The Client shall provide the Service Provider with all necessary information and access required for the performance of the Services.
3.3 The Service Provider is entitled to use subcontractors to perform the Services.
IV. Payment Terms
4.1 The Client shall pay the Service Fee specified in the Individual Agreement.
4.2 Payment shall be made via bank transfer to the Service Provider’s bank account within the deadline specified on the issued invoice.
4.3 In case of late payment, statutory interest for late payment under the Civil Code shall apply.
V. Liability
5.1 The Service Provider shall be liable for the performance of the Services in accordance with applicable laws.
5.2 The Service Provider shall not be liable for damages resulting from incorrect or incomplete information provided by the Client or from causes beyond the Service Provider’s control.
VI. Intellectual Property Rights
6.1 All content (graphics, websites, text, campaign materials, etc.) created by the Service Provider shall remain the intellectual property of the Service Provider, unless otherwise agreed in the Individual Agreement.
6.2 The use of such intellectual property is permitted only within the scope of the Services and for the benefit of the Client.
VII. Confidentiality
7.1 The Parties shall treat all business secrets and confidential information obtained during their contractual relationship as confidential and shall not disclose them to third parties.
VIII. Termination of the Contract
8.1 The contract shall terminate:
a) upon expiry of the term defined in the contract,
b) by mutual agreement of the Parties,
c) by ordinary or extraordinary termination.
8.2 In the case of ordinary termination, the notice period is 30 days and must be given in writing.
8.3 Extraordinary termination is subject to the provisions of the Civil Code.
IX. Miscellaneous Provisions
9.1 These GTC may be amended unilaterally by the Service Provider. The amended GTC shall become effective upon publication on the Website.
9.2 The Parties shall attempt to resolve their disputes amicably. In the absence of a resolution, they submit to the exclusive jurisdiction of the competent court at the Service Provider’s registered office.
9.3 Hungarian law shall govern these GTC and the Individual Agreement.
